Methodology
This calculator uses an EBITDA-based valuation approach, which is the standard methodology for medical aesthetics practice transactions. The process works as follows:
Step 1: Calculate Adjusted EBITDA. We start with your net income before owner compensation, then add back owner compensation to arrive at Seller's Discretionary Earnings (SDE). For practices with more than $1M in revenue, we then subtract a market-rate manager salary ($120,000) to approximate EBITDA, since acquirers will need to replace the owner's management function.
Step 2: Apply Base Multiple. The base EBITDA multiple range for medical spa transactions is 5.0x-8.0x, derived from publicly reported transactions and industry advisory data. Single-location practices typically fall in the 4.0x-6.0x range, while multi-location platforms command 7.0x-10.0x or higher.
Step 3: Adjust for Qualitative Factors. The base multiple is adjusted upward or downward based on growth rate, owner dependency, and scale. These adjustments reflect the premium or discount that buyers typically apply based on these factors.
